1. Acceptance of Terms

By accessing or using AzurCompass™ (the "Service"), you agree to be bound by these Terms & Conditions. The Service is provided by Tech-Azur ("Company").

2. Service Description

AzurCompass is an AI-powered executive dashboard and business intelligence platform. The Service includes data visualization, AI-generated insights, and optional consulting engagement facilitation.

3. AI Disclaimer

IMPORTANT: All AI-generated outputs, suggestions, recommendations, and insights provided through AzurCompass are informational only and do NOT constitute professional financial, legal, tax, accounting, medical, or investment advice. AI outputs are high-level, concept-stage suggestions generated from your data and general business knowledge. They are estimates with stated assumptions, not guarantees of outcomes. You are solely responsible for decisions made based on AI outputs. Always consult qualified professionals before acting.

4. User Accounts & Security

You are responsible for maintaining the confidentiality of your account credentials. Two-factor authentication may be required for certain roles. You must notify us immediately of any unauthorized access.

5. Acceptable Use

You agree not to: upload malicious content or files; attempt to access other tenants' data; reverse-engineer the platform; use the AI to generate content that violates laws; share account credentials; exceed fair-use API limits; use automated scraping tools.

6. Intellectual Property

Your Data: You retain full ownership of all business data you upload or connect to AzurCompass. We claim no ownership rights over your data. Our Platform: AzurCompass, its code, design, gauge suite, algorithms, and branding are the intellectual property of Tech-Azur. AzurCompass™ and AzurVantage™ are trademarks of Tech-Azur.

7. Consultant Access Terms

When you engage with Tech-Azur consulting services, assigned consultants may access your business data as authorized. All consultant access is: logged in the audit trail; limited to assigned accounts only; subject to NDA obligations; revocable at any time. Practice Directors may oversee consultants' work for quality assurance.

8. Data Processing

We process your data as a data processor acting on your instructions. A Data Processing Agreement (DPA) is available upon request. We comply with GDPR, CCPA/CPRA, and applicable data protection laws.

8a. Anonymized Data License for Training & Improvement

You grant Tech-Azur a perpetual, worldwide, royalty-free license to use anonymized, de-identified, and aggregated data derived from your use of the Service to operate, train, evaluate, improve, and develop the Service and its AI models, and to create benchmarks and new features — provided that such data has had personally identifiable information and company-identifying details removed and cannot reasonably be used to identify you, your organization, or any individual. Identifiable business data is not used for cross-client AI model training. Customers on Enterprise agreements may request a contractual opt-out from anonymized-data training use.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECH-AZUR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE SERVICE. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

10. Subscription & Billing

Paid subscriptions are billed annually. A 30-day free trial is available for paid tiers. You may cancel at any time; access continues until the end of the billing period. Refunds are provided on a case-by-case basis within the first 30 days.

11. Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification. Continued use after changes constitutes acceptance.
